Tenders and orders:
Our tenders are normally always non-binding. For us, orders are only binding when they are confirmed in writing.
Prices:
If not otherwise agreed, the sales prices stated ex works (Uplengen-Jübberde) in the order confirmation are used for calculation purposes.
Lead time:
The delivery periods stipulated by us are non-binding. Events of force majeure such as strikes, operational failures and all circumstances not attributable to us which impede or utterly prevent prompt and correct delivery shall extend the delivery periods agreed upon, and entitle us to withdraw from the contract in part or in full. The shipping dates stipulated in the order confirmation are approximate and are not guaranteed.
Shipping:
Shipping is carried out at the expense and risk of the recipient. Packing shall be charged at cost. Returns are therefore not cost-effective. We do not issue credit notes with the exception of special packages.
Payment:
In the absence of any other agreement, our invoices are payable 30 days following the date of invoice. If the payment period is exceeded, we have the right to charge expenses and interest on account of late payment according to the rate normally applied by private banks for unsecured loans. The payment shall be paid in the currency stated on the order confirmation. All orders are carried out subject to the approval of our finance department.
The goods will remain our property until the full payment is made and all of our obligations under the entire business arrangement are fulfilled. Cheques and commercial bills are accepted as payment upon special agreement. The reservation of proprietary rights is extended in the event of further processing, installation and resale. Any claims resulting from resale to or installation for third parties are hereby conveyed to us.
Weights, dimensions and deviations:
All specifications regarding the quantities and weight of the goods are non-binding; deviations of up to plus/minus 10% do not constitute a defect providing that specific quantities or weights have not been expressly agreed upon.
Warranty:
We shall assume liability for all defects with regard to products supplied providing that we are informed in writing of the defect within 14 days following receipt of the goods. We shall assume a warranty of 12 months for defects in the use of our products following their installation; however, this applies to a period of no longer than 15 months following delivery. Natural wear and tear is excluded from this warranty. Installation is required to have taken place in accordance with the specifications stipulated by us, and our requirements are required to have been met in terms of operation conditions. This warranty applies at our discretion in each case to replacement delivery, repairs and reimbursement of the purchase price. Further claims on the part of the customer do not exist. Equally, costs for dismantling, reinstallation and consequential damages of any kind shall not be borne by us.
Place of fulfilment and court of jurisdiction:
The place of fulfilment for delivery and payment and the exclusive court of jurisdiction for both parties is Leer, Germany.
